STANDARD CONDITIONS OF RADIO *EW YORK YIOPLOVICE CONTRACT FOR APCADCASTING
- PAYLIENT AND BILLING.
(4) Time Payments under this contract are to be received by STATION at the address specified on STATIONs bulls on a before the 15en of ees roth following that in which broadcasting is done. Payment is to be made in med States funds, rot, Cayable at a New York City bank, unless specifically provides to the contrary on the face hereof,
(b) Materiality. In all cases date of payment is materia! STATION fails to receive timely Dayment, or if ADVERTISERS or AGENCY's cred is, in STATION'S reasonable opinion, impaired, STATION in its owt. diserat se, Merather cancel this contract under sub-parag aph 3(a) or change the terms of present for further broadcasts under this contract.

(c) Claires. If STATION is notified of any claim caused by erang out of, or resulting from any broadcast hereunder, whether in connection program mate- ridi furnished by AGENCY or STATION, o. otherwise, and so 1 com is deemed substantiel in S'ATION's reasorable opinica, STATION mar, by ziving written notice to AGENCY, terminate this contract as to any or als feつまごいている。

(a) By Agency. (a) Conditions of Substitutior.. (b) Adjustment. RATE PROTECTION.

PROGRAM MATERIAL.
(a) Agency Responsibility Unless otherwise noted on the face of this contract, att program material acluding talent and commercial announcements, shall te furn.hed by AGENCY, ad all expenses currected with the de..very thereof to the STATION and return the sfrom, I so directed, shall be paid by AGENCY. AGENCY sralt delivar comp'ste music cup sheats for all musical compositions designated by AGENCY for broadcast and all other program material not less than 16 hours jexclusive of Saturders, Sundays anci holidays) in advance of broadcast.
(b) Approval of Material. STATION may, in its discretion, reject any musical compostions, and may reject recordings, the technical quality of which does not comply with STATION standards. All live gram material to be broadcast hereunder shall be adequately rehearsed, and ali live and recorded material to be broadcast hereunder shail conforms the STAT. AGENCY will hold and save STATION harmless against any and stl hapity and experse, including attorneys fces, resulting from the broad- cast of programs or prograin material prepared, produced of furnished by AGENCY, including musical compositions, escepting such liability as mar result from ite uroadcast on AGENCY-produced broadcasts of meterial furnished by STATION.
(b) Er Statios. STATION will hold and save AGENCY harmless against all such l'abity and expense, including attorneys fees, on STATICH-produced broadcasts, arcepting cr'y such l'ability as may result from the broadcast of commercial and other material furnished by AGENCY, la adation, STATION will hold and save AGENCY harmless with respect to material furnished hy STATION for AGENCY-produced broadcasts. 9. IFICREASED COSTS.

STATION will not accept of process mal, correspondence or telephone ce is in connertion with broadcasts except after its prio. approval, and is approved, at the so'e risk of AGENCY and object to reimbursement by AGENCY for all expense incurred.
(c) Relationship of Advertiser and Agency. If this contract is with recognized advertising as an agency commiss of 15, will be allowed, if and as prov ded on the face of the contract. AGENCY is mong and shall perform this coatract as agent for a dated principal, the sponsor ramed ca the face of tr's coar b. (e) Legal Ob'gations STATION'S bligations hereunder are tubject to the terms and condors of licerses held by if and to applicable internations, rederal, state and Iccal laws and regulations.
